Lead Generation Service Terms and Agreement.

By submitting payment for any invoice issued by Black Diamond Marketing (“Provider”), Client (“Client”) acknowledges that they have read, understood, and agreed to the following Terms of Service.

1. Service Overview

Black Diamond Marketing provides paid advertising lead generation services specifically designed to generate inbound seller inquiries for real estate wholesalers and investors.

The service consists of:

  • Managing paid Meta (Facebook/Instagram) advertising campaigns.

  • Screening, qualifying, and nurturing inbound leads.

  • Delivering a defined minimum number of contract-ready seller opportunities.

Black Diamond Marketing does not participate in negotiations, contract execution, property evaluation, or deal closing.

2. Definition of “Contract-Ready” Leads

A “Contract-Ready” lead is defined as a seller who meets all of the following criteria:

  • Respond directly to paid advertisements managed by Provider

  • Completed Provider’s intake and screening process

  • Confirmed motivation to sell

  • Confirmed a realistic timeline to sell

  • Confirmed flexibility on selling price

  • Expressed willingness to review and potentially sign a purchase agreement

  • Agreed to speak with Client regarding negotiations and next steps

Only leads that meet all criteria above qualify as deliverable under this agreement.

3. Deliverables and Timeline

  • Provider will deliver a minimum of three (3) contract-ready leads within thirty (30) days of campaign launch

  • Delivery is fulfilled when the lead is introduced to Client with an appointment or a direct discussion is arranged

  • If deliverables are not fulfilled within thirty (30) days, provider will continue managing campaigns at no additional service fee until obligations are met with an additional lead for a total of 4 deliverables or Client elects to discontinue service.

4. Payment Terms

  • Service fee: $2,000 per month

  • Advertising Spend: Paid separately by Client and determined jointly based on campaign needs.

  • Fees are non-refundable once services begin.

  • Payment of the invoice constitutes acceptance of these Terms of Service

5. Client Responsibilities

Client is solely responsible for:

  • Negotiating terms with sellers

  • Making offers

  • Executing contracts

  • Managing transactions and closings

Provider does not guarantee

  • Signed contracts

  • Closed deals

  • Profits or financial outcomes

Lead conversion is dependent on Client’s negotiation skills, offer structure, and follow-through

6. Warm Leads and Lead Ownership

Some leads may be identified as “warm” rather than contract-ready (e.g., sellers considering selling at a later date.)

  • Warm leads do not count toward the guaranteed deliverables

  • Provider may continue follow-up and nurturing at its own discretion

  • If a warm lead converts to contract-ready within the same 30-day period, it may count toward deliverables.

    If a warm lead converts after the 30-day period and/or after service delivery is complete:

  • The lead remains part of the Provider’s dataset unless otherwise agreed

  • Client may elect to receive priority access to that lead for a one-time fee of $300

  • Client may elect to renew the service and receive the lead in their guaranteed deliverables

  • If Client declines, Provider reserves the right to assign or sell the lead elsewhere.

7. Lead Attribution

  • Leads delivered as contract-ready are owned by Client

  • Leads not delivered as contract-ready remain the property of Provider unless explicitly released to Client

  • Provider is not obligated to replace leads that were delivered but failed to convert due to Client-side factors

8. Limitation of Liability

Black Diamond Marketing is not liable for:

  • Failed negotiations

  • Deal fallouts

  • Seller withdrawal

  • Market Conditions

  • Client inability to close

Provider’s maximum liability is limited to the amount of service fees paid for the active billing period.

9. Termination

Client may terminate services after the fulfillment of the agreed deliverables

Provider reserves the right to terminate service if Client violates these terms or acts in bad faith.

10. Good Faith Clause

Both parties agree to act in good faith and communicate openly regarding campaign performance, lead quality, and expectations

11. Acceptance of Terms

Payment of any invoice issued by Black Diamond Marketing constitutes full acceptance of these Terms of Service
